Swisher Hygiene Acquires Three Laundry Services Firms in Southeast

CHARLOTTE, N.C. — With today’s announcement that it has acquired South Florida-based Q Linen Service, Swisher Hygiene Inc., a provider of hygiene and sanitation products and services, has acquired three laundry service companies in three separate deals in the past two weeks.
Q Linen Service serves the Miami market and provides facilities services such as the delivery of linen, bar towels and aprons to the foodservice and hospitality industries. Giuseppe Calderone, one of the owners of Q Linen, has joined Swisher Hygiene.
Swisher Hygiene agreed to pay $150,000 in cash, assume certain liabilities, and issue up to 37,479 shares of common stock subject to Toronto Stock Exchange acceptance to acquire Q Linen.
On April 1, Swisher announced its acquisition of Linen Services Plus, a Tennessee-based linen facility. The company serves the Knoxville market and provides facilities services such as the processing and delivery of mats, bar towels and linens to the foodservice and hospitality industries. Scott Mitchell, owner of Linen Services Plus, has joined Swisher Hygiene.
Additionally, Swisher purchased certain assets from the service divisions of two of its manufacturing partners that service distributors and “end-customers” in New York, Texas, Missouri and Kansas.
Total consideration paid by Swisher in connection with the Linen Services Plus acquisition and other purchases includes $447,676 in cash, the assumption of certain liabilities, and the issuance of up to 53,130 shares of common stock.
On March 31, Swisher Hygiene announced that it had acquired Unitex Inc. (“Kleenmark”), an Alabama-based linen facility, and A-1 Solutions, a Wisconsin-based hygiene and chemicals company.
Kleenmark serves the Greater Birmingham, Ala., market and provides facilities services such as the processing and delivery of mats, bar towels and aprons to the foodservice and hospitality industries. A-1 Solutions provides specialty chemicals and warewash service programs to the foodservice and hospitality industries in the Green Bay and surrounding markets.
Total consideration paid by Swisher in connection with Kleenmark and A-1 Solutions includes $345,000 in cash, the assumption of certain liabilities, and the issuance of up to 27,304 shares of common stock.
“We continue to gear up our presence in the linen, warewash and laundry markets and the purchases are another step in rounding out our full-service coverage,” Swisher Hygiene CEO Steven R. Berrard said following the Linen Services Plus acquisition.
